There are a number of key considerations for pricing Licence Agreements contained in Exploiting IT but the points set out below are essential to include in licence agreements in order to protect your software:
Is the licence limited to the right to use the software only in object code?
Is the use of the licence limited only to the rights absolutely necessary to enable the end user to receive the benefit of the software?
Are the warranty provisions sufficiently restrictive so that they will not affect your ability to recognise revenue before the expiry of the warranty term?
Are the exclusion and limitation of liability clauses both sufficient and enforceable?
Have you included all provisions necessary to comply with obligations that you have to your licensors?
